- This Terms of Use is included by reference in the Disclaimer, and as such, the paragraph numbering is a continuation of the numbering from the Disclaimer and Privacy Policy, the previous paragraphs of which form the basis for interpretation of this Terms of Use.
- “Corporate Author” (collectively “Corporate Authors”) is an Author who is also an equity holder, officer/partner, employee, contractor or third party assign of Instoll, LLC.
- “Non-Corporate Author” (collectively “Non-Corporate Authors”) is an Author who is NOT an equity holder, officer/partner, employee, contractor or third party assign of Instoll, LLC.
- “Corporate Content” means content produced by a Corporate Author. All Corporate Content is the property of Insoll, LLC and is protected by copyright as of the date the content was published.
- “Content License” means an unencumbered, world-wide, unlimited, perpetual and non-exclusive license.
- “Content Licensed Content” means any content for which a party to this agreement as been granted a Content License.
- Copyright
- All the content on the Corporate Websites and/or Promoted Websites not already governed by an existing copyright and produced by Corporate Authors shall be considered Corporate Content. Instoll, LLC grants no license and reserves all rights and titles to Corporate Content.
- All the content on the Corporate Websites not already governed by an existing copyright and produced by Non-Corporate Authors becomes the property of the Non-Corporate Author (the entity they represent or to them personally if no such entity exists).
- All Non-Corporate Authors grant Instoll, LLC a Content License to any content the Non-Corporate Authors publish on the Corporate Websites, whether this content originated on the Corporate Websites or originated elsewhere. Instoll, LLC shall have sole discretion to use Content Licensed Content in any manner and for any purpose.
- In some cases, an Author might publish content that originated at an earlier date. Where applicable, the earliest date of publication shall serve as the date of original copyright and subsequent publication of such content or any derivative works shall be considered additional editions with their publication date serving as the date of copyright.
- Unless otherwise specified, Instoll, LLC reserves all rights to Corporate Content and reserves all granted rights to Content Licensed Content; therefore, absolutely no content from the Corporate Websites or Promoted Websites may be reproduced in whole or in part without written permission of Instoll, LLC.
- All content produced by any party who is not clearly designated as an Author, is owned by the respective party; however, by posting the content on the Corporate Websites and/or Promoted Websites, the publishing party grants Instoll, LLC a Content License.
- The Providing Parties and Consuming Parties agree and certify all the content published on the Corporate Websites and/or Promoted Websites shall be original work, or shall be properly referenced, cited and/or licensed per the original copyright-holder’s requirements.
- The Providing Parties and Consuming Parties by virtue of posting any content to the Corporate Websites and/or Promoted Websites, certify the content is theirs to post and further certify they have observed any applicable copyright terms, should they exist.
- Conduct
- The Providing Parties and the Consuming Parties agree to conduct themselves professionally and to share their opinions with an appropriate amount of tact and self-discipline. Examples of inappropriate conduct include but are not limited to name-calling, discrimination, slander, trolling and spamming.
- In addition, although there is no specific censorship applied to the Corporate Websites or Promoted Websites, The Providing Parties and the Consuming Parties agree not to direct harsh, adult or vulgar content at another party for the purpose of attack, retaliation, intimidation or other malicious intent.
- Instoll LLC, in its sole discretion, reserves the right at any time and without justification to censor content, disable accounts and ban any party for an indefinite time and/or permanently from the Corporate Websites and/or Promoted Websites and/or from conducting any further business with Instoll, LLC.
- Surfers and Authors agree to use the Instoll Websites via a standard web browser, and to not engage in any conduct aimed at extracting content from the site (e.g. web scraping), infringing on Surfer/Author privacy, monitoring network traffic or automating the user interfaces (through code, bots, AI or otherwise).
